General Terms and Conditions

Please read these Terms and Conditions carefully ("Agreement," "Terms and Conditions") before using the platform and mobile version https://usaibis.com/ ("the Site") operated by Ibis Payments LLC ("we," or "our site") as well as the mobile App and Bot ("the App," and "our bot"). This Agreement sets forth the legally binding general terms and conditions for the use of the Platform, the App, and our bot (collectively, "the Platform") by individuals and/or legal entities (hereinafter, "Users") who access the Platform for any reason. By accessing or using the Platform in any way, including, but not limited to, using the App, initiating a chat with our bot, visiting or browsing the Web, or contributing content or other materials to the Platform, you unreservedly agree to be bound by these Terms and Conditions and to comply with all the provisions contained herein. Capitalized terms are defined in this Agreement. We reserve the right to review and/or modify these Terms and Conditions at any time by updating and/or modifying the Legal section on the Platform and in the App. Users must review the Terms and Conditions each time they access the Platform in any way, as each modification will be considered tacitly accepted each time the User accesses the Platform. Users are informed that the products and/or services and/or content offered on the Platform may contain specific rules that regulate and/or complement and/or modify and/or alter the Terms and Conditions, so it is advisable to become specifically aware of them before using them.

General Definitions

1. Intellectual Property

The Site and its original content, features, and functionality are owned by Ibis Payments LLC, including all usage authorizations and licenses; they are protected by international copyright laws, registered trademarks, patents, trade secrets, and other intellectual property or proprietary rights laws.

2. Links to Other Sites

The Platform may contain links to third-party sites that are not owned or controlled by Us. Ibis Payments LLC has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites or services. We recommend that you read the terms and conditions and privacy policy of any third-party site you visit.

3. Applicable Law

This Agreement (and any other rules, policies, or guidelines incorporated by reference) will be governed and interpreted in accordance with the laws of Argentina, without giving effect to any principles of conflicts of laws.

4. Accuracy of the Web Platform

Although we intend to provide accurate and timely information about the Platform (including, without limitation, the content and/or products and/or services), it is not always entirely accurate, complete, or current and may also include technical inaccuracies or typographical errors. In an effort to continue offering the most comprehensive and accurate information possible, the information may be modified or updated from time to time without prior notice, including, without limitation, information regarding our policies, content, products, and services. Therefore, you should verify all information before relying on it, and all decisions based on the information contained on the Platform are your sole responsibility, and we will have no liability for such decisions.

5. Limited License

We grant you a non-exclusive, non-transferable, limited license, subject to the terms of this Agreement, to access and use the Platform and the content, materials, information, and functionality available in connection with it (hereinafter, "Content"), solely for informational, transactional, or other purposes approved as permitted by Ibis from time to time. Any other use of the Platform or Ibis Content is expressly prohibited. All other rights in the Platform or Ibis Content are reserved by us and our licensors. We reserve all rights in the Platform and Ibis Content, and you agree that this Agreement does not grant you any rights or licenses to the Ibis Platform or its Content, except for this express limited license. Otherwise, you must not copy, transmit, distribute, sell, resell, license, decompile, reverse engineer, disassemble, modify, publish, participate in the transfer or sale, create derivative works, perform, display, incorporate into another website, or in any other way exploit any of the content or any other part of the Ibis Platform or any derivative work thereof, in whole or in part, for commercial or non-commercial purposes. Without limiting the foregoing, you must not frame or display the Platform or Ibis Content (or any portion thereof) as part of any other website or work without our prior written permission. If you violate any part of this Agreement, your permission to access and use the Ibis Services may be terminated in accordance with this Agreement. Additionally, we reserve the right to pursue all available remedies at law and in equity for such violation. "usaibis.com," "Ibis," and all related logos associated with Ibis Services or displayed on the Ibis Platform are trademarks or registered trademarks of Ibis or its licensors. You may not copy, imitate, or use them without prior written consent from Ibis.

6. Application Programming Interface (API)

Any person or entity using the Ibis Application Programming Interface ("Ibis API") must comply with the terms of this User Agreement and/or any other conditions that Ibis may impose at its sole discretion from time to time. The Ibis API is owned by Ibis and is available to Ibis API users on a non-exclusive, non-sublicensable basis.

Security

1. Security

We have implemented security measures designed to protect your information against accidental loss and unauthorized access, use, alteration, or disclosure. However, we cannot guarantee that unauthorized persons will not obtain access to your information, and you acknowledge that you provide your information at your own risk, except as provided by applicable law. Services and/or products provided by Us on the Platform can only be arranged by persons who have the legal capacity to contract and/or be contracted under applicable law. Users who register on the Platform as legal entities must have sufficient capacity to contract on their behalf and bind them under these Terms and Conditions. We have no obligation to verify that Users have the right or capacity to use the Platform.

2. Registration - Onboarding

It is the User's obligation to register to use the products and/or services of the Platform. The registration data must contain accurate, precise, and true personal information. The information will be completed in the form of a sworn statement. Likewise, it will be the User's obligation to update their personal data when necessary. We are not responsible for the accuracy of the data provided. Users guarantee and are responsible for the authenticity, veracity, accuracy, and validity of the information registered by the User. We reserve the right to request additional information and/or documents to verify the information uploaded by the User. If the data cannot be confirmed, we reserve the right to suspend and/or cancel the User's account temporarily or permanently. If an account is canceled and/or suspended and/or a registration is rejected due to inconsistencies or inconsistencies in the information provided by the User and/or in case of detecting suspicious activities of money laundering and/or terrorism financing, the User will not be entitled to any compensation or indemnity. User accounts are personal and therefore cannot be transferred and/or sold and/or assigned and/or donated under any title. Users cannot authorize the use of their accounts by third parties. The User will create their registration on the Platform by entering their full name and email address. The user accesses the Platform through their email and an authentication code that Ibis will send by email or to their phone number linked in out bot. Additionally, the User may, at their discretion, set up a second factor code ("2FA") by linking the authentication application they wish, as well as enable their biometric data to increase security levels. The User is responsible for the confidentiality of their data and their email password to receive the authentication code. User personal data will never be disclosed to third parties without their prior consent, except when necessary to comply with current legal regulations. Ibis will use the data uploaded by the User for identification and authentication purposes, commercial management, sending notifications, promotions, and advertising.

Use of the Platform

The User undertakes to use the Platform in accordance with current regulations, morality, good customs, public order, and these Terms and Conditions. Furthermore, they agree to refrain from using the Platform for illicit purposes or those harmful to the interests of third parties and/or the Platform. The means for transferring fiat money are only those specified on the Platform. The User acknowledges the risks and fluctuations in the quotations of the currencies offered through the Platform. The User acknowledges that Ibis' activity is limited to providing the necessary technology for the User to exchange the desired fiat currency for stable cryptocurrencies, and/or vice versa. The exchange rates between fiat currency and stable cryptocurrencies are those reported in the App or on our bot at the time of instructing the corresponding operation. In the event of any breach by the User of these Terms and Conditions, we reserve the right to decide to return the stored funds to their account Last update 1st June, 2024.
Ibis Payments LLC - Virtual Asset Service Provider (VASP) registered under No. 53 dated July 19, 2024 in the CNV Registry of Virtual Asset Service Providers.
